INTRODUCTION
This Acceptable Usage Policy ("AUP") for LAKE MERRITT EQUITY, L.L.C., a State of California limited liability company, or its affiliates, one of which is ORIGINS SALE ME, L.L.C., a State of Maine limited liability company (hereinafter referred to as, "Company", "we" or "us"), is a sub-policy to the Terms and Conditions of Use ("Terms"). It is applicable to all consultants, agents, employees and customers ("Users"), and all locations, including application installations. It applies to all Company systems and computing facilities, including any computer, server or network provided or supported by Company ("Company Systems"). It must be read and understood by all Users of Company Systems.
This document sets out the general duties that all Users of Company Systems have to others using the network and/or the Internet. It does not describe any process, procedure or implementation details. Please refer to the Terms, or Privacy Notice, for such details.
Company reserves the right to modify the AUP and Terms, or Privacy Notice, at any time.
ACCEPTABLE USAGE POLICY
General Requirements
This AUP sets forth the specific actions that are prohibited by Company. Use of the Company Systems constitutes acceptance of and agreement to abide by all of the policies set forth in this AUP.
For the purposes of this AUP, a User of the Company Systems includes the person, application process or device requesting access to Company Systems in order to perform a function.
Use of the Company Systems includes the use of data or programs stored on the Company Systems, or on any magnetic tape, floppy disk, CDROM or other storage media that is owned and maintained by Company.
The purpose of this AUP is to ensure that all Users use Company Systems in an effective, efficient, ethical and lawful manner. Indirect or attempted violations of this AUP, and actual or attempted violations by a third-party on behalf of a Company client, agent, employee or consultant, shall be considered violations of the AUP by such employee, agent, consultant or client.
Violations of this AUP may result in immediate suspension or termination of the Services in addition to other penalties that may be imposed on Company by its network service providers. Company has no ability to monitor the integrity, accuracy or quality of the information transmitted via the Company Systems, and Company assumes no liability to its subscribers or to any third-parties for the content of such information.
Password and Username Requirements
Users agree to abide by the password requirements established within Company's Password Policy which is published on the Company Service Portal. All Users must review and acknowledge their agreement to abide by the requirements of the Company Password Policy.
Usernames shall be constructed using a Company "shortname" whenever possible. For a Company "shortname" consists of the first initial of the first name of the User combined with the entire last name of the User. This requirement may be limited in some cases to operating system or application specific limitations.
Prohibited Uses
As a User you hereby agree that you will NOT use Company Systems:
For Illegal Purposes
Including any upload, download, posting, distribution or facilitating the distribution of any material in any chat room, message board, newsgroup or similar interactive medium accessed through the Company Systems that:
- Constitutes unauthorized use or reproduction of material protected by copyright, trademark, trade secret or other intellectual property right
- Is, or may be perceived as, obscene, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy
- Violates import/export control laws
For Unauthorized Access
Including but not limited to:
- Any probe or attempted probe, scan or vulnerability testing without the express authorization of the owner of the system or network
- Any security breach of a host, network component or authentication measure without the express authorization of the owner of the system or network
- Any monitoring of data on any network or system without the express authorization of the owner of the system or network
To Interfere with Services
- To interfere with the service of any user, host or network, including deliberate attempts to overload a server, network connected device, or network component
- To propagate malformed data or network traffic resulting in damage to, or disruption of, a service or network connected device
- To forge data with the intent to misrepresent the origination user or source
- To send unsolicited, mass electronic mail messages to one or more recipients or systems, including, without limitation, commercial advertising and informational announcements, and/or to post the same or similar messages to one or more newsgroups (excessive cross-posting or multiple-posting) (also referred to as 'Spamming')
- To forge electronic mail headers (including any portion of the IP packet header and/or electronic mail address) or to use any other method to forge, disguise, or conceal the user's identity or IP address (also referred to as 'Spoofing')
Acceptable Conduct Requirements
As a User, you hereby agree to the following acceptable conduct:
Users shall not engage in communication about Company business practices, services, or support activities in public forums, including but not limited to Twitter, Facebook, Linked-In, Blogging, or Buzz (gmail), without prior written authorization from Company legal counsel.
Where discretionary controls exist governing access to a User's data or application files that are within the control of that User, the User will be solely responsible for such access controls.
Users should report any weaknesses in computer security and/or any incidents of possible misuse or violations of this AUP to the Company Chief Operations Officer.
Users shall not attempt to access any data/programs contained on Company Systems or Company's clients' systems for which they do not have authorization or explicit consent.
Users shall not divulge dial-up modem phone numbers, external connectivity details, passwords or other access control information that could be used by a third party to gain unauthorized access to Company Systems.
Users shall take reasonable precautions to secure their physical working environment to guard against unauthorized access including, but not limited to, the use of password screen locks, session timeouts, logging out of workstations at the end of the working day and strong passwords.
Users shall not make copies of copyrighted or other proprietary material or software except as permitted by law or by the owner.
Users shall not make copies of system configuration files for their own unauthorized personal use or provide to other people/users for unauthorized uses.
Electronic communication facilities are for authorized use only. Fraudulent harassing or obscene messages and/or materials shall not be sent from, to or stored on Company Systems.
Users shall not, without express authorization from the Company Chief Operations Officer, download, install or run security programs or utilities that reveal weaknesses in the security of any system.
Policy Updates
In the event of any material change to this AUP, Company will post a new copy of the AUP to the Company Service Portal and require you to accept it. The steps will enable you to view the changes before accepting. Company may, however, post new versions of the AUP with nonmaterial changes without express notification to Users (e.g. changing the name of the Company business unit from Company Hosting to Company Cloud and Hosting). Within the AUP there is a revision history table which outlines material changes to the AUP.
